  • A Series LLC is a parent legal structure that holds individual "series," each representing a separate investment in a specific company. Each series operates independently, legally separating assets and liabilities across deals for investor protection.

  • Once your funds clear and the offering closes (or partially closes), you’ll receive a countersigned subscription agreement via email. This serves as your official proof of purchase.

  • Clariton Trust sources shares from affiliates and secondary sellers who negotiated early access or equity options. The offering price may include a premium based on secondary acquisition terms and carried interest agreements.

  • When the underlying company goes public or is acquired, you'll receive either a cash payout or your shares transferred to your brokerage account, minus applicable expenses or carried interest. Timing depends on holding periods and deal terms.

  • Yes, you have 48 hours after placing your investment to cancel. After that, your funds go through a 10-day clearing process. Refunds typically take 7–10 business days once cleared, depending on your payment method.

  • Regulation D 506(c) allows private companies to raise unlimited funds from accredited investors with general public advertising. Verification of investor status is mandatory before any purchase is finalized.

  • Regulation Crowdfunding and Reg A+ are open to the general public, but have strict limits on how much companies can raise and what individuals can invest. Regulation D is more flexible but limited to accredited investors only.
